Terms of Use

IMPORTANT:
PLEASE READ THESE TERMS CAREFULLY. THESE TERMS CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS AND INCLUDE LIMITATIONS OF LIABILITY AND, FOR SOME USERS, A DISPUTE RESOLUTION PROCESS.
1. Agreement to Terms
These Terms of Use (“Terms”) are a legally binding agreement between you (“you,” “User”) and Focus Pro (“Focus Pro,” “Company,” “we,” “us,” “our”) governing your access to and use of the Focus Pro mobile application, websites, and related services (collectively, the “App” or “Service”).
By downloading, installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

3. Definitions
- “App” means the Focus Pro software application and updates.
- “Service” means features and functionality made available through the App, including syncing and subscription features.
- “Content” means information you create, upload, store, or otherwise provide through the Service (e.g., tasks, notes, habits).
- “Subscription” means paid access to premium features offered through Apple’s App Store, Google Play, or other authorized platforms.
4. Eligibility
You must be at least 13 years old to use the Service, or the minimum age required in your country for you to consent to data processing and form a binding contract (for example, some countries require 16). If you are under the required age, you may not use the Service.
If you use the Service on behalf of an organization, you represent you have authority to bind that organization, and “you” includes that organization.
5. Accounts and Security
Some features require an account (e.g., Sign in with Apple, Google Sign-In, or guest mode).
You agree to:
- provide accurate information where requested,
- keep your credentials secure,
- promptly notify us of unauthorized access, and
- accept responsibility for activity under your account.
We may suspend or terminate accounts as described in Section 16.
6. The Service; Not Professional Advice
Focus Pro is a productivity and focus tool. It does not provide medical, psychological, financial, legal, or other professional advice. Do not rely on the Service for emergency needs or as a substitute for professional advice.
7. License and Acceptable Use
7.1 License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial use.
7.2 App Store / Platform Terms (Important)
Your use of the App may also be subject to third-party terms (for example, Apple Media Services Terms, App Store terms, Google Play terms). If there is a conflict between those third-party terms and these Terms regarding platform billing or platform rules, the third-party terms may control for those topics.
For iOS downloads via Apple’s App Store:
- If Apple’s standard end-user license agreement (“Standard EULA”) applies, that Standard EULA governs certain licensing aspects of the iOS app. These Terms govern the Service relationship between you and Focus Pro (accounts, subscriptions, content, conduct, etc.).
7.3 Restrictions
You will not, and will not assist others to:
- copy, modify, distribute, sell, lease, lend, or sublicense the App except as permitted by law,
- reverse engineer, decompile, or attempt to derive source code except where the restriction is prohibited by law,
- bypass or interfere with security or access controls,
- use the Service to violate law or third-party rights,
- use automated means (bots/scrapers) to access the Service,
- upload malware or harmful code,
- exploit the Service in a way that could harm Focus Pro, users, or third parties.
8. User Content
8.1 Ownership
You retain ownership of your Content.
8.2 Our Limited License to Operate the Service
You grant Focus Pro a limited, worldwide, non-exclusive license to host, store, process, transmit, and display your Content solely to provide, maintain, secure, and improve the Service, including syncing across your devices and backups.
8.3 Your Responsibilities
You are responsible for your Content and represent that:
- you have the rights needed to provide it,
- it does not infringe or violate third-party rights or law,
- it does not include illegal content or malware.
8.4 Backups
We do not guarantee you will never lose Content. You are responsible for keeping your own backups of important information.
9. Subscriptions, Billing, Trials, and Refunds
9.1 Purchases Through Apple App Store / Google Play
If you purchase a Subscription through Apple’s App Store or Google Play, payment is processed by that platform, not by Focus Pro. Your purchase is subject to the platform’s payment terms.
9.2 Auto-Renewal and Cancellation
Subscriptions auto-renew unless canceled in accordance with the platform’s rules.
- Apple App Store: manage/cancel in your Apple account subscription settings.
- Google Play: manage/cancel in the Play Store subscription settings.
If we offer an in-app “Manage Subscription” link, it is provided for convenience and may deep-link you to the relevant platform page.
9.3 Free Trials and Promotions
If a free trial or discounted period is offered, it converts to a paid Subscription unless canceled before the trial ends in accordance with the platform’s requirements. Any unused trial portion may be forfeited upon purchase where permitted by platform rules and applicable law.
9.4 Price Changes
Subscription pricing may change. Where required, the platform and/or Focus Pro will provide notice and/or request consent.
9.5 Refunds
Refund requests for Subscriptions purchased through Apple’s App Store or Google Play must generally be made through the relevant platform’s refund process, subject to applicable law. If a refund is issued by the platform, your access may end immediately or at the end of the billing period depending on the platform’s rules and applicable law.
Nothing in these Terms limits any mandatory refund or withdrawal rights you may have under applicable consumer protection laws.
10. Third-Party Services and Sign-In Providers
The Service may integrate with third-party services (e.g., Apple, Google) for sign-in, analytics, crash reporting, payments, or notifications. Your use of third-party services is subject to their terms and privacy practices. We are not responsible for third-party services.
11. Intellectual Property
The Service (excluding your Content), including software, design, text, graphics, logos, and trademarks, is owned by Focus Pro and protected by intellectual property laws. Except for the limited license granted in Section 7, no rights are granted to you.
12. Feedback
If you submit ideas, suggestions, or feedback, you grant Focus Pro a perpetual, irrevocable, worldwide, royalty-free license to use it without compensation or attribution.
13. Updates; Changes; Availability
We may update the App and change or discontinue parts of the Service. Some changes may affect certain features or devices. Where required by applicable law (including certain consumer laws), we will provide required updates and remedies.
We do not guarantee the Service will be available at all times, error-free, or compatible with all devices or operating systems.
14. Privacy
Our Privacy Policy explains how we collect, use, and protect personal information. By using the Service, you agree to our Privacy Policy. You can find it in the App settings and/or at: Privacy Policy.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
- the Service will be uninterrupted, timely, secure, or error-free,
- Content will never be lost,
- results from using the Service will meet your expectations.
Some jurisdictions do not allow certain disclaimers. In those jurisdictions, disclaimers apply only to the extent permitted by law.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOCUS PRO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.
IMPORTANT CONSUMER RIGHTS CARVE-OUT:
Nothing in these Terms excludes or limits liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; (iii) willful misconduct; or (iv) any liability that cannot be excluded under applicable law. If you are a consumer, you may have additional statutory rights that cannot be waived.
17. Indemnification (Business Users; Limited for Consumers)
If you use the Service on behalf of a business or for commercial purposes, you agree to indemnify and hold harmless Focus Pro from claims arising out of your use, your Content, or your violation of these Terms or law.
If you are a consumer, this indemnity applies only to the extent permitted by applicable law.
18. Suspension and Termination
18.1 By You
You may stop using the Service at any time. You may be able to delete your account in the App settings or by contacting [email protected].
18.2 By Us
We may suspend or terminate your access if:
- you violate these Terms,
- we must do so to comply with law or platform requirements,
- we discontinue the Service,
- your use creates risk or potential harm to the Service, other users, or third parties.
18.3 Effect of Termination; Data Retention
Upon termination, your right to use the Service ends. We may delete or anonymize your Content after a reasonable period, subject to legal requirements and our Privacy Policy. You are responsible for exporting or backing up your Content before termination where possible.
19. Governing Law and Dispute Resolution
This section is structured to respect mandatory consumer laws.
19.1 Informal Resolution First
Before filing a formal claim, you agree to contact us at [email protected] with a brief description of the issue. We will attempt to resolve it within 30 days.
19.2 Consumers (EEA/UK/Switzerland/Norway/Iceland)
If you are a consumer who resides in the EEA, the UK, Switzerland, Norway, or Iceland:
- These Terms do not deprive you of protections under mandatory consumer laws of your country of residence.
- You may bring claims in the courts of your place of residence (and we may do so as well where permitted).
Any arbitration or class-action waiver in these Terms does NOT apply to you where prohibited by law.
19.3 Consumers (Other Countries)
If you are a consumer outside the regions above, these Terms are governed by the law of your place of residence to the extent required by mandatory consumer laws; otherwise, the law in Section 19.4 applies.
19.4 Business Users; Default Law
If you are not a consumer (for example, you are using the Service on behalf of a business), these Terms are governed by the laws of the State of California, USA (excluding conflict-of-law rules), and disputes will be resolved in state or federal courts located in California, unless we both agree to another forum.
19.5 Arbitration and Class Action Waiver (US Residents Only; Where Permitted)
If you reside in the United States, and to the extent permitted by law, you and Focus Pro agree to resolve disputes through binding arbitration on an individual basis, and you waive the right to participate in class actions or class-wide arbitration. This section does not apply where prohibited by law and does not affect rights that cannot be waived.
20. Export Controls and Sanctions
You represent that (a) you are not located in a country subject to comprehensive sanctions or embargoes and (b) you are not on any restricted party list (e.g., denied persons lists), to the extent such restrictions apply to the App. You will not use, export, re-export, or transfer the App in violation of applicable export or sanctions laws.
21. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, in-app notice or email). The “Last updated” date indicates when these Terms were last revised. By continuing to use the Service after the effective date, you agree to the updated Terms, except where prohibited by law.
22. Severability
If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions remain in effect.
23. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms presented in-app for specific features, constitute the entire agreement between you and Focus Pro about the Service, and supersede prior agreements on that subject.

APPENDIX A — PLATFORM-SPECIFIC TERMS (SUMMARY; NOT A SUBSTITUTE FOR PLATFORM TERMS)
A1. Apple App Store (iOS)
- The agreement for the iOS App is between you and Focus Pro, not Apple.
- Apple has no obligation to provide maintenance or support services for the App.
- Apple is not responsible for addressing claims relating to the App (including product liability, legal compliance, or IP infringement claims), except as required by law.
- Apple and its subsidiaries are third-party beneficiaries of any iOS end-user license terms applicable to the App and may enforce them against you.
A2. Google Play (Android)
- Subscriptions purchased through Google Play are managed through Google Play billing and subscription tools.
- Where required by Google Play policies, we will provide a reasonable way to access subscription management (for example, a deep link) and/or a cancellation option as required.
APPENDIX B — CONSUMER RIGHTS NOTICE (GENERAL)
If you are a consumer, you may have statutory rights that cannot be waived, including rights relating to digital content/services and remedies if the Service is not provided with reasonable care and skill or is not as described. These Terms apply only to the extent permitted by applicable law.
